Welcome to Groath, Inc. These Terms of Service (“Terms”) govern your access to and use of our website, software, AI agents, applications, automations, dashboards, and all related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms.

1. Use of Services

You may use the Services only in compliance with these Terms and applicable laws. You may not misuse, disrupt, or attempt to interfere with the functionality of the Services.

You agree not to:

  • Engage in illegal, harmful, or unauthorized activities.

  • Reverse engineer, modify, or copy the Services.

  • Use the Services to develop competing products.

We may suspend or terminate your access if you violate these Terms.

2. Accounts & Access

Some parts of the Services may require an account. You agree to provide accurate information and keep it updated.

You are responsible for maintaining the confidentiality of your account and for any activity that occurs under your credentials.

3. Client Projects & Deliverables

For custom development, AI agents, or automation projects, all project details, timelines, and payment terms are outlined in a separate written agreement.

Groath retains the right to showcase non-confidential deliverables in portfolios or case studies unless otherwise agreed in writing.

4. AI Agents & Automations

You understand that AI agents may:

  • Perform actions based on your inputs.

  • Access integrated third-party tools via your permissions.

  • Generate unpredictable or imperfect outputs.

You are responsible for monitoring and verifying AI outputs when used in critical workflows.

Groath is not liable for outcomes resulting from client misuse or misconfiguration of AI agents.

5. Third-Party Integrations

Our Services may integrate with platforms such as Google Workspace, HubSpot, Slack, Stripe, databases, and external APIs. Use of these integrations is governed by those third parties’ terms.

Groath is not responsible for issues arising from third-party services.

6. Intellectual Property

All content, designs, software, and technology owned by Groath remain our property unless otherwise specified.

Custom-built software or agents may be licensed or transferred to clients as outlined in the individual project agreement.

You may not copy or reproduce Groath-owned intellectual property without written permission.

7. Payments & Billing

Fees for projects, subscriptions, support plans, or usage-based tools are stated in your service agreement.

Payments are due according to agreed schedules. Late payments may result in paused service or delayed delivery.

All fees are non-refundable unless otherwise stated.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during a project.

Confidentiality obligations do not apply to publicly available information or information rightfully obtained from third parties.

9. Data Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information.
